Electronic Game Solutions, Inc. (EGS) is a 22-year-old company that was started in 2002 and currently holds privileged charitable gaming licenses/approvals/certifications and/or does business in 24+ states, two countries and is the preferred vendor for Class II gaming products on Cruise Lines. 

80%+ of the revenue generated from EGS products help fund the mission work of charitable organizations including funding uniforms, bats, balls, camps, and equipment for youth sports, building repairs (air conditioning/heating units, new roofs), tuition, veteran financial aid (for veterans, veteran hospitals, and families), fire trucks, and college/graduate/seminarian school scholarships. The need for fundraising regarding these efforts has never been more important to the multitude of charitable organizations throughout the United States. 


CRUISE LINES

EGS has done business with multiple cruise lines for over 13 years.  Some of these cruise lines use EGS’s product not just to play their games but also to count their customers’ money through EGS’s cashless debit and credit system.  As a preferred vendor, EGS has earned their business and trust by providing a proven and comprehensive Point of Sale System and Software Verification Platform that verifies winners and manages cashless purchases and payouts to the with passengers without errors or interruptions.  The number of years EGS has worked in the cruise line industry is testament to how robust and reliable EGS’s software platform is, as tech support is not readily available when the ships are cruising.

The combined experience of the EGS’s management and staff is over 300 years, and the managing partners have successfully worked together since EGS’s inception, bringing together a successful combination of talented people. FIRST TO MARKET

BOOTY CHASER

Linked bingo is nothing more than the traditional game of bingo – linked electronically. It is linked electronically so that multiple people can play without being in the same building yet play simultaneously within a licensed jurisdiction. Linked bingo gives charities the ability to raise money without having the traditional financial overhead and financial risk. Below are just some of the names of linked bingo games EGS has produced that are in play today. 

It all started in 2012 when EGS obtained its linked bingo license in the State of Minnesota and launched the Booty Chaser Linked Bingo game in Minnesota and then the State of Louisiana. TREASURE HUNT

Then came Treasure Hunt and Cade o Tesouro (Treasure Hunt in Portuguese) which is currently being launched in Brazil and is EGS’s first responsive web page product. 

BINGO LEO

Bingo Leo (Leo is Swahili for “Now”) which will be launched with EGS and HGI’s partner in Africa – Top Deck Entertainment – first in Kenya, where Top Deck was just awarded an online casino license with the assistance of EGS and HGI.

EGS IS BONDED

When the EGS management and staff designed its linked bingo game it was designed to work to be an option as a lottery game that can be run statewide. In Minnesota and Louisiana EGS collects ALL the money that is brought in per game in both Minnesota and Louisiana and redistributes that money through ACH debits and credits – all approved by the state with state supervision. EGS is currently bonded to pay out up to $100K a day to a single winner. This bond will be increased as more linked bingo locations are added. 

MANAGEMENT


Dean Falvo
President – CEO

Mr. Falvo is a founding partner of EGS who has over 33 years of experience in the electronics bingo industry, and it is through his vision that EGS’s linked bingo game came to life. With his “gambling spirit” he successfully had the vision to develop the only game – period – where the prizes become easier to win as the prizes become larger. 

From 2002-2016, Mr. Falvo served as Vice President of Sales and Marketing becoming President, CEO when Mr. Smolic left the company to work on another project in 2016. 

In 1999, Mr. Falvo was a founding member of B.B. Marketing, LLC, the then exclusive marketing arm of Bingo Brain Inc. In 2002, Mr. Falvo, Mr. Midows and Mr. Smolic purchased Bingo Brain Inc. (BBI), creating EGS. 
In 1995 Mr. Falvo teamed up with Mr. Smolic to place units as independent representatives for Bingo Brain. 

In 1991, prior to forming EGS, Mr. Falvo was the local distributor in Cleveland, Ohio, and the surrounding areas for handheld bingo electronics. He also worked with another electronic bingo manufacturer as an independent national marketing representative from 1991-1994 placing the first electronic handheld units in Louisiana, Ohio, Pennsylvania and Illinois. 

Prior to 1991, Mr. Falvo owned and operated retail beverage establishments in the Cleveland area. 


Sean Sullivan
COO 

Mr. Sullivan has over 26 years of experience in the electronic bingo industry. Mr. Sullivan was a key employee at BBI and in turn became a founding shareholder of EGS and works as the liaison between EGS’s customers and software/hardware developers/programmers. His experience conveying “layman’s wish lists” from EGS customers to “technical requests” for the company’s programmers is invaluable. His work ethic is unmatched and his attention to detail is inspiring and is what makes EGS products reliable and “bullet proof”. 

Testament to his end work product is seen throughout EGS: From EGS’s 13+ year relationship as one of Disney’s preferred vendors. Disney uses EGS’s electronic handheld units to play bingo on all their cruise ships and its software to count the money and make the appropriate debits and credits to customer accounts through EGS’s cashless system. When cruising, tech support is obviously not readily available, and the lack of immediate support needed by Disney is proof of Mr. Sullivan’s attention to detail. 

To EGS’s 24+ U.S. licenses it has held over 22 years without any infractions or reprimands from any jurisdiction. 
And EGS’s 22-year GLI Approved Software legacy on its software platform that has been in use and is still in use managing millions of transactions each day in the United States and other international jurisdictions. 

In 1998 Mr. Sullivan began his career working for BBI in technical support and repairs. During his time with BBI from 1998 to 2002 he became a key employee by learning every aspect of BBI’s hardware and software. Because of his hard work and knowledge and dedication, he became a key employee and a founding shareholder of EGS. 

Mr. Sullivan is a 1998 graduate of the University of Missouri in Columbia, MO and holds a Bachelor of Educational Studies degree with an emphasis on Industrial Technology. 


Larry Midows
Vice President – CFO 

Mr. Midows has been in the bingo industry since 1986 and has accumulated over 38 years of experience in the electronic bingo industry. Mr. Midows has served as EGS’s CFO since its founding in 2002. 

In 1999, Mr. Midows was a founding member of B.B. Marketing, LLC, the then exclusive marketing arm of BBI. In 2002, Mr. Falvo, Mr. Midows and Mr. Smolic purchased BBI, creating EGS. 

In 1996, Mr. Midows became a working partner at BBI, the company he helped start and was a shareholder of, in 1986. BBI obtained patents for its first electronic gaming device – the EB1 – in both the United States and Canada. 

Prior to 1996, Mr. Midows owned and was the managing partner of a retail shoe company with stores in Missouri, Illinois, Pennsylvania, and North Carolina. 

Mr. Midows is a graduate of the University of Oklahoma in Norman, OK and holds a Bachelor of Business Administration Degree. 


John Smolic

Executive Chairman of the Board 

Mr. Smolic is a founding partner of EGS who has over 33 years of experience in the electronics bingo industry. Since 1991, Mr. Smolic has worked in the tribal, charitable, casino and hall owner segments of the market. 

From 2002-2016, Mr. Smolic served as President/CEO until he left to obtain a grower/processor medical marijuana license in the Commonwealth of Pennsylvania. Mr. Smolic returned to EGS in 2021, as the Executive Chairman of the Board. 

From 2016-2021 Mr. Smolic was the CEO of PennAlt Organics, the winner of one of only 25 medical marijuana growing and processor licenses in the Commonwealth of Pennsylvania. Out of the 25 licenses awarded, Mr. Smolic scored the highest score with the remaining 24 winners not coming close to the point spread between first and second place in the scoring process by the Pennsylvania Department of Health. 

In 1999, Mr. Smolic was a founding member of B.B. Marketing, LLC, the then exclusive marketing arm of BBI. In 2002, Mr. Falvo, Mr. Midows and Mr. Smolic purchased BBI, creating EGS. 

In 1998, Mr. Smolic purchased a bingo hall and assisted several of the local charities in achieving their goal of offering numerous baseball, basketball, and football programs to the youth of the community through bingo proceeds. 

In 1991 Mr. Smolic worked as an independent distributor and placed some of the first electronics in Native American games in Wisconsin and Michigan. In 1993 he moved his family to Pennsylvania to form a bingo distributorship and to work with local charities. 

Prior to 1991, Mr. Smolic worked in the entertainment industry assisting on numerous TV shows, music videos and TV commercials. Some of his past clients include MTV (TV and Radio commercials), VH1 (VH1 Corvette Collection giveaway), TNT (TNT Power Pass), Motley Crue (music video) and Venus Swimwear (advertising and marketing) as well as multiple local news affiliates (TV and Radio commercials). 

Mr. Smolic is a graduate of Marquette University in Milwaukee, WI and holds a Bachelor of Arts degree in Advertising with a minor in Business and Film. 


Jon Goldstein
Managing Partner – NBT  

Mr. Goldstein has been involved in the gaming industry for over 20 years and is an entrepreneur with a proven track record of organizing and managing effective teams to create profitable ventures. 

Most recently he has focused his efforts in launching a new online linked bingo game worldwide, commencing in Brazil in 2024. His guidance in developing the market and team has been a major influence of the how the game looks and how it is to be launched. 

He has also worked to shepherd new jurisdictions with EGS and HGI in Africa, Philippines, Trinidad, and multiple tribes throughout the United States and Canada. He was instrumental in the United States Federal Agency, The Nation Indian Gaming Commission, opinion that “…..all tribes are one nation connected by bridges….” opinion which created opportunities for Native American Tribes to work together with gaming products throughout the United States. This opinion is also a very important of offering a certified Class II linked bingo game between tribes throughout the United States and Canada. 

Mr. Goldstein also was successful in procuring the rights to a significant casino/economic development agreement with a Native American tribe in the State of New York. For some time, this tribe was courted by influential developers to no avail. Mr. Goldstein managed to create a working collaboration with the tribe to allow him to obtain exclusivity on the deal. Through his influence, MJM
Development (a preeminent Native American casino developer), has agreed to provide the needed financial backing to realize the venture. Numerous other Native American casinos (and related) development projects are currently being cultivated. 

Starting in 2001, Mr. Goldstein shepherded the development and growth of ID Interactive, a software development company that created cutting edge interactive software to address the ongoing needs of the Class III and Class II gaming markets. Mr. Goldstein was able to assemble a team of extremely talented professionals in the areas of engineering, game development, marketing, sales, legal and other keys areas of a successful entity. 

Much of his time and Mr. Goldstein’s time has been spent in creating strategic alliances with some of the top gaming regulatory consultants in the country, including Pat Leen of Gaming Regulatory Consultants, and Rob Russell of Regulatory Management Counselors PC. Mr. Goldstein has received over 150 Tribal Gaming Licenses as well as a Commercial Gaming license in the State of Florida in connection with this venture. 

During the 1990s, Mr. Goldstein held the position of Director of Operations for a NASDAQ listed bingo company. His responsibilities included managing the company’s portfolio of charitable bingo facilities in the state of Florida. Eventually, he followed his entrepreneurial spirit and purchased several of this company’s locations throughout the State of Florida. Over the course of several years, these facilities were each sold at substantial profit. 

To strengthen his position within the bingo community, Mr. Goldstein ran for and was elected President of the Association of Florida Bingos, a charitable bingo trade association which he quickly expanded from 6 member halls to over 40 (representing over 50% of the halls in Florida). Re-elected as President over 4 years, Mr. Goldstein brought the charities and vendors into the organization, converted industry opponents into allies, and effectively lobbied in the Florida legislature to prevent adverse legislation and to pass proactive legislation to help the charitable bingo industry. Mr. Goldstein still has close ties to many key Florida legislators and lobbyists. 

Through his contacts in the Florida bingo industry, he developed additional revenue sources for the charitable bingo industry, including electronic bingo, video bingo and amusement games. Mr. Goldstein also worked with a Brazilian company to distribute over 1,000 amusement games in the Florida market and established an ongoing relationship with Mr.Dean Falvo and the third largest electronic bingo provider in the country, Electronic Game Solutions, Inc. (EGS). 

Throughout the 1980s, Mr. Goldstein owned and operated 3 pizza/sandwich restaurants in New Orleans, Louisiana for four years, eventually selling the restaurants to pursue other opportunities. 

Mr. Goldstein also produced and hosted a special event documentary on Mardi Gras for Gould Productions. He then organized a worldwide television scuba-diving series for The Discovery Channel. Several pilots were completed, but personal obligations prevented him from completing the series. The series was sold and went on to a successful 3 year run as “Scuba World”. 

Mr. Goldstein graduated from Georgia State University number one in his class, Summa Cum Laude  


Shaun Shoemaker 
Managing Partner – NBT 


Mr. Shoemaker has over 30 years of experience in the bingo and gaming industries – first, as a bingo hall owner, and then as a distributor and then a manufacturer of bingo and gaming products. 

Mr. Shoemaker’s experience also extends to a deep knowledge of social media and his working relationships working with multiple You Tube and other social media influencers that provide content that attracts millions of followers. 
From 2003-2010 Mr. Shoemaker worked first as the Director of Cabinet Fabrication and then Director of Service and Tech Support overseeing the software support of over 500 locations and approximately 12,500 units in the United States as well as an additional 13 countries and 6,000 units internationally. 
Mr. Shoemaker started working in the charitable gaming industry at the young age of 15 at Delray Bingo in 1993 in the snack bar – being hired by Mr. Jon Goldstein and his parents. He then worked his way up to runner, manager and finally becoming a partner in the consulting firm for Delray Bingo and 8 additional bingo halls in Florida until 2003. 

Mr. Shoemaker was elected as an Officer of the Florida Bingo Association in 2001, due to his involvement in the industry and his continued hard work, dedication, and interest in working to create reliable revenue for the charities and their mission statements. 

Mr. Shoemaker believes his dedicated work ethic and strong belief in God began while working hand and hand with grandfather and grandmother as a young boy on their family farm. It is from there that he learned the value of hard work, family, faith, and the need to do charitable work – which is what lead him to become involved in multiple charities (501c3’s) including but not limited to The Jewish War Veterans, American Legion Chapters, Veterans of Foreign Wars, Elks Lodges, Moose Lodges, Eagles Lodges, and many others. 

Mr. Shoemaker is also deeply involved with the formation of “Future 6 Helping Hand” which focuses its efforts in helping children with special needs and their families and is recognized as a charitable 501c3 throughout the United States. To this day he donates one weekend a month during the spring and summer seasons to assemble and donate his time teaching and spending time with children coping with special needs and their families by bonding with them through teaching them how to surf, skateboard and be involved in other forms of extreme sports. 


Humberto Magalhaes 

Managing Partner – NBT 


Mr. Magalhaes has over 20 years’ experience as an executive in the restaurant, gaming and entertainment business. His expertise and leadership in developing project direction, delivery development, strategic planning, operational logistics, project focus, and his reputation as a professional and his ability to develop long lasting relationships is unparalleled. 

Restaurant: 
Since 2016 as the owner and CEO, Mr. Magalhaes launched and still oversees a successful franchise restaurant chain knows as Pizza Crek in Hollywood, CA. 

Gaming: 
From 2013 until 2017 Mr. Magalhaes was the Regional Sales Manager for the West Coast of the United States for Ortiz Gaming. He defined the business plan and strategy to implement all the phases of infrastructure related to the installation of Ortiz Games in more than 22 casinos in the States of California, Washington, and New Mexico. His oversight also included the negotiation of contracts with the casinos and Native American Tribes as a member of the executive team. During his time with Ortiz Gaming, Mr. Magalhaes was able to grow through the Ortiz organization and learn, create, develop, and launch new innovative products that were interesting and exciting to regulators, casino owners and Tribal Officials. 

Entertainment: 
From 2002-2011 Mr. Magalhaes was the Co-Owner and CEO of both Four Music Live Brazil and Friends Eventos Ltda providing upscale large music events throughout the country of Brazil. 
Mr. Magalhaes was also the former Assistant Manager for The Regency Club in Los Angeles, California where he organized and oversaw the birthday parties of President Clinton, President Bush, and the commemoration party of the 1988 Lakers Championship. 

KEY PERSONAL


Rodney Gallagher  
Chief Technical Officer – CTO

Mr. Gallagher has worked in the bingo industry since 1986 and has accumulated over 38 years of experience developing software/hardware solutions. Mr. Gallagher’s “fingerprints” can be seen throughout each and every EGS product and he is considered to be one of the premier technology experts in the electronic bingo industry. 

In 2002 Mr. Gallagher began working with EGS as its lead software developer and electronics engineer and manages a team of programmers and graphic artists producing EGS’s hardware and software solutions. 
In 1986 Mr. Gallagher formed Verify Plus Systems, which offered the first complete bingo accounting and inventory tracking system for licensed charities in the state of Colorado. 

Prior to 1986 Mr. Gallagher worked in the oil and gas industry as a software engineer. 


Joyce Coury 
Executive Marketing Director 

Ms. Coury joined EGS in 2023 to manage the rollout of EGS’s responsive web page in the United States and in international jurisdictions. Her knowledge of advertising and marketing, combined with her organizational skills are extremely important to EGS and HGI as both companies navigate the rollout of this new product. Ms. Coury’s job is not only to control the message, but to make sure that the message that is provided is culturally accepted. Ms. Coury oversees all the messaging information to prospective players and makes sure the monies spent for advertising and marketing are justified and are providing the proper ROI that EGS, HGI and NBT expect. She then collects all this information and presents it to the Management Teams of EGS, HGI and NBT on a weekly basis for discussion and decision making. 

Prior to joining EGS, Ms. Coury was the Director of Marketing and Community Relations for DME Sports Academy from 2015-2022. https://dmeacademy.com 

From 2012-2015 Ms. Coury decided to devote her time as a full-time mother of three. 
From 2008-2012 Ms. Coury was the Marketing Specialist for Manheim Auto Auction. https://www.manheim.com 

From 2004-2008 Ms. Coury was the mother of one, with two on the way so she again removed herself from the workforce to be a full-time mother of three. 

From 2002-2004 Ms. Coury started as a Sales Representative and then was promoted to Corporate Trainer after being the number one salesperson in the company consecutively with Janssen Pharmaceutica, a division of Johnson & Johnson. 

From 1994-2001, Ms. Coury was the Retail Supervisor and Mass Accounts Corporate Trainer for M&M/Mars. 


Samantha Smolic 
Art Director 

Ms. Smolic joined EGS for the second time and HGI in 2023. Her responsibilities are for all the artwork on the landing page, and websites (that are currently under construction) for both EGS and HGI as well as the appearance of the linked bingo games provided by EGS. She is also responsible for all artwork before it is released into the public working with graphic artists locally and with the local marketing company (that is brought on if needed in certain international jurisdictions) to make sure that the look and feel of the products being offered stays the same. You could say she creates the “face” of both EGS and HGI and its products. 

From 2017-2019 Ms. Smolic worked as a graphic designer for EGS creating artwork and games titles for its e-tab program. 

Ms. Smolic graduated in 2002, with honors, from the Savannah College of Art and Design which is consistently ranked as one of the top 5 Art and Design colleges in the United States. She holds degrees in branding, advertising, animation, and graphic design. Some of the software she is proficient in include:

Adobe Illustrator, Photoshop, InDesign, AfterEffects, Animate, Light Room, Microsoft Power Point, WordPress, Canva, and Wix.  

Prior to rejoining EGS and HGI Ms. Smolic worked for Swarovski, Oyster Creative Company and Axe and Sledge. 

Ms. Smolic is also a former fashion model.  


Retta Petzel 
Office Manager 

Ms. Petzel has been in the bingo industry since 2000 and has over 24 years of experience handling customers, billing, receivables, payables, and overall office organization. 

Since 2000, when she was working for BBI, and then from 2002 working for EGS, Ms. Petzel has been the cohesive glue that keeps everything moving in the right direction. Her ability to multitask is amazing and her organizational skills unmatched. Her positive attitude is what EGS customers hear first when they call has a handle on everything EGS. 

As stated earlier, EGS is really in the compliance business and Ms. Petzel is at the core of EGS maintaining its compliance in all jurisdictions. Her consistent vigilance has been a “key ingredient” to EGS’s success since 2002. 

Humanitarian Gaming International, LLC (HGI) 


Humanitarian is an American Samoan Corporation created in 2022, that some of the same EGS shareholders created to do business internationally. While in the United States, EGS products provide balls, bats, fire trucks, new schools, and churches – it is some of the international opportunities that EGS has available that not only improves lives but saves lives. All charitable work is honorable – but to save lives is a whole new mission so HGI was created for two reasons: 
Provide a better name to communicate to legislators, regulators, and players what it is that EGS products do and Create a better corporate umbrella to do business internationally. 


All products HGI distributes are either owned or licensed by EGS. 


In Summary
